Terms of Service
Version 2026-10-30
Draft, pending legal review
This document is a draft template and has not yet been reviewed by a lawyer. It may change before Transcript Audio launches.
1. About these terms
These terms are an agreement between you and Harvie Software Solutions Ltd (“we”, “us”) for your use of the Transcript Audio desktop app, the transcript.audio website, your Transcript Audio account and the AI processing we provide (together, the “Service”). By creating an account, buying a plan or using the app, you agree to these terms. If you use the Service for an organisation, you confirm that you can accept these terms on its behalf.
We may update these terms. When we make a material change we will update the version number above and ask you to accept the new terms the next time you sign in.
2. Recording consent: your responsibility
You are solely responsible for telling everyone in a meeting that you are recording it and for getting their consent wherever the law requires it. Transcript Audio does not notify participants for you. Recording laws differ by country and, in the United States, by state; some require the consent of every participant.
The app’s recording notice, announce text and consent log are tools to help you; they do not replace your own legal duties. You must not use the Service to record anyone unlawfully or without the notice and consent the law requires. You are responsible for how you store, use and share recordings, transcripts and notes, including under data protection law. Our recording consent guide is general information only and is not legal advice.
3. Who can buy
The Service is sold to customers worldwide. You must be at least 18 to buy a plan.
4. The Service and AI processing
Transcript Audio records audio on your computer and turns it into transcripts and notes. Recordings, transcripts and notes are stored on your device. AI processing is included in your plan: you do not need your own AI provider account or API keys.
When you use cloud transcription, AI summaries or Questions as you go in the cloud, the relevant audio or text is sent from the app through our AI service to AI providers that act as our subprocessors, under zero-retention settings where available. It is processed and then discarded; we do not store it. Transcription on your own computer does not leave your device. Details are in our Privacy Policy.
AI-generated transcripts, notes and answers can be inaccurate or incomplete. Check anything important before you rely on it, especially in regulated work. The Service is under active development and features may change.
5. Your account
You must give accurate details, keep your sign-in secure and tell us promptly if you think someone else has accessed your account. A plan is for one person.
6. Plans, meetings and fair use
The plans, prices and features are shown on the pricing page, which forms part of these terms. In summary:
| Plan | Meetings | Devices |
|---|---|---|
| Free | 3 a month | 1 |
| Premium | Unlimited, subject to fair use | 2 |
| Pro Converser | Unlimited, subject to fair use | 3 |
| Teams | Unlimited, subject to fair use | 3 per seat |
How meetings are counted
A meeting counts towards an allowance when a recording is finished and is at least 2 minutes long. Shorter recordings do not count. The app reports each counted meeting to us with a random meeting identifier, its start time, duration and platform, never its content. Monthly allowances reset at the start of each calendar month (UTC).
Fair use
“Unlimited” plans have no cap on the number of meetings and are never blocked, but are subject to our Fair Use Policy, which covers cloud transcription hours, one live recording per account at a time, and a “Still recording?” prompt after 4 hours.
7. Prices and payment
Harvie Software Solutions Ltd is the seller of all plans. Prices are in US dollars and are shown before tax; where VAT, GST or sales tax applies, it is shown at checkout before you pay. Payments are processed by Stripe; we never see or store your full card number. Harvie Software Solutions Ltd is not currently registered for VAT, so no VAT is charged. If we register, we will tell you before any change to what you pay.
8. Free trial and automatic renewal
- We may offer a free trial of Pro Converser for 1 month (30 days), on monthly or yearly billing. A valid payment card is required to start it.
- Unless you cancel or switch to Premium before the trial ends, your card is charged the Pro Converser price automatically when it ends ($18 a month or $174 a year, as you chose, plus tax where applicable), and the subscription continues. If you switch to Premium, you are charged its price instead.
- We will email you 7 days and 3 days before the trial ends to remind you.
- You can cancel at any time, in one click, from your account page, the Stripe billing portal or the app. If you cancel during the trial you will not be charged, and your account moves to Free when the trial ends.
- There is one free trial per person and per payment card. A second trial is not given; if a subscription is started by getting around this, we may cancel it without charge.
9. Subscriptions, renewal and cancellation
- Paid plans are subscriptions billed monthly or yearly in advance. They renew automatically at the end of each month or year at the then-current price until you cancel.
- We will tell you at least 30 days before any price increase, and it will apply from your next renewal; you can cancel before then.
- You can cancel at any time from your account page, the billing portal or the app. Cancellation takes effect at the end of the current period: your plan stays active until then, and your account then moves to Free. Refunds are covered by our refund policy and your statutory rights.
- If a payment fails, Stripe will retry it for a short grace period. If it still fails, the subscription may be cancelled and your account moved to Free.
10. Updates
All future updates included, free: every plan receives all future updates to the app at no extra cost. We may add, change or remove features over time; we will not remove a core feature of a paid plan during a period you have already paid for without offering a fair remedy.
11. Licence
We grant you a personal, non-exclusive, non-transferable licence to install and use the app on the number of devices your plan allows, while your account is in good standing. You must not copy, resell, reverse engineer (except where the law allows) or remove licence checks from the app.
12. Acceptable use
You must not use the Service to:
- record people without the notice and consent the law requires;
- break any law, or infringe anyone’s privacy, confidentiality or intellectual property;
- harass, defame or harm anyone;
- interfere with the Service, attempt to get around its limits, or access other users’ accounts;
- share your account or licence beyond the devices or seats you have paid for.
13. Your content
You own your recordings, transcripts and notes. Because they are stored on your device and we do not keep them, we cannot recover them for you. Keep your own backups.
14. Our liability
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, or your statutory rights as a consumer. If you are a consumer, we are responsible for foreseeable loss caused by our breach of these terms or our failure to use reasonable care and skill.
Subject to that, we are not liable for: inaccurate AI output that you rely on without checking; recordings made without proper notice or consent; lost recordings or notes stored on your device; or, for business users, loss of profit, revenue, business or data, or any indirect or consequential loss. Our total liability to you in any 12-month period is limited to the greater of the amount you paid us in that period and £100.
15. Suspension and termination
You can stop using the Service and delete your account at any time. We may suspend or end your access if you seriously or repeatedly break these terms, for example by recording people unlawfully, with notice where reasonable. If we end your access without your fault, we will refund any prepaid amount for the unused period. The sections on recording consent, liability and governing law continue after termination.
16. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
